Vinson & Elkins advised Crescent Energy Company in connection with its $2.1 billion acquisition of SilverBow Resources, Inc.
In the merger, SilverBow shareholders will receive 3.125 shares of Crescent Class A Common Stock for each share of SilverBow common stock, with a cash election alternative to receive $38 per share in cash (up to a maximum total transaction cash consideration of $400 mm). The merger is subject to customary closing conditions, including the approval of both companies’ stockholders, and is expected to close in the third quarter of 2024.
