Vinson & Elkins represents issuers and underwriters in a wide variety of capital-raising transactions, including initial public offerings (IPOs), and private placements and public offerings of equity, debt, and convertible securities. A significant portion of our Capital Markets practice focuses on IPOs, driven in part by the representation of private equity funds looking to IPO portfolio company investments across a variety of industries.

Our Capital Markets team serves clients across many industries, including in multiple sectors of the energy industry (including renewables), aerospace, finance, real estate, telecommunications, and technology, and works in close coordination with lawyers from every corner of our full-service firm to address environmental, tax, executive compensation and benefits, regulatory, and other issues that may arise in the course of an offering. The firm has experience with a variety of IPO investment vehicles as well, including corporations, MLPs, real estate investment trusts (REITs) and special purpose acquisition vehicles (SPACs).

As a result of the depth of our Capital Markets practice, we have established one of the most accomplished teams of corporate partners and associates of any law firm in the country. Our lawyers are experienced in helping clients manage and complete every phase of the offering process, including corporate restructuring; pre-clearing financial statements and similar issues, and efficiently managing the overall SEC review process; working with accounting firms, engineers, and others engaged in the offering process; assisting with post-IPO planning and developing related corporate governance structures, processes and procedures; implementing compensation plans and agreements; and managing the listing process with the NYSE and NASDAQ markets.
