
Curt Wimberly


Curt’s practice focuses on the U.S. federal income tax aspects of domestic and international transactions. He advises clients with regard to the formation of various inbound and outbound cross-border structures, master limited partnerships (MLPs), joint ventures, “Up-Cs” and other initial public offering (IPO) vehicles, and private equity structures. He also advises clients with regard to mergers and acquisitions (M&A), capital markets transactions, and cross-border restructurings.

Talos Energy, a portfolio company of Apollo Global Management and Riverstone Holdings, in its $2.5 billion combination with Stone Energy, creating an offshore-focused E&P company
Antero Midstream GP, Antero Midstream Partners, and Antero Resources in the roll up of Antero Midstream Partners in a unit-for-cash and stock transaction
(S.D. Tex.) – Represented Fortune 500 company in two federal district court disputes over the timing of tax losses on foreign investments; both matters settled favorably, with the IRS conceding most of the $89 million at issue
Oasis Midstream Partners LP in its $147 million initial public offering of common units
Maxar Technologies in its $3.6 billion merger with DigitalGlobe, creating a leading provider of satellites, earth imagery, geospatial data solutions and analytics
First Reserve in its $135 million acquisition of TriMas Corporation’s Lamons business, a provider of industrial sealing and fastener solutions
Hi-Crush Partners LP in its conversion from a master limited partnership to a C-corporation
Omega Protein, a nutritional product company and provider of specialty oils and specialty protein products, in its $500 million sale to Cooke
USA Compression Partners in its $1.7 billion concurrent IDR exchange for common units and acquisition of CDM Resource Management and CDM Environmental Technical Services, and related debt and equity financings
Fifth Creek Energy Company, a portfolio company of NGP, in its $649 million combination with Bill Barrett Corporation, creating an E&P company focused on oil-weighted rural areas in the Denver-Julesburg Basin
