Meriwether oversees business development efforts for the firm’s Restructuring & Reorganization group. She also leads strategic talent and attorney development efforts within that same group, as well as the Real Estate practice. Meriwether began her career as an associate for Complex Commercial Litigation, where she focused on representing companies, partnerships, and officers and directors in securities litigation and fiduciary duty litigation at the trial and appellate levels in state and federal courts, as well as in government investigations. She has also represented several pro bono clients in various contexts, including guardianship hearings and immigration proceedings.
Experience Highlights
Acted as lead associate on a team representing a consumer retail company in section 10b-5 class action lawsuit filed in the Southern District of Texas, related derivative actions and concurrent SEC investigation; assisted in drafting successful Rule 23(f) petition for permission to appeal the court’s ruling on certification of the class; the class action settled while appeal was pending
Secured reversal of an injunction issued by the Delaware Court of Chancery against an oilfield services company and its directors in a fiduciary duty lawsuit; the Court of Chancery subsequently granted defendants’ motion to dismiss and denied plaintiff’s motion for fees, and the Delaware Supreme Court affirmed the dismissal. C&J Energy Services, Inc. v. City of Miami Retirement Trust, 107 A.3d 1049 (Del. 2014), on remand, 2016 WL 4464274 (Del. Ch. Aug. 24, 2016), aff’d,158 A.3d 885 (Del. 2017)
Obtained dismissal of securities fraud claims arising after a sudden drop in a company’s stock price in the Eastern District of Pennsylvania; the Third Circuit Court of Appeals affirmed the dismissal. Anderson v. StoneMor Partners, L.P., 296 F. Supp. 3d 693 (E.D. Pa. 2017), aff’d, 927 F.3d 710 (3d Cir. 2019)
Obtained dismissal of securities fraud class-action filed challenging a pipeline company’s disclosures regarding its operations and maintenance efforts in the Southern District of Texas; the Fifth Circuit affirmed the dismissal. (E.D. Pa.) – In advance of summary judgment, obtained favorable settlement of securities fraud claims challenging exploration and production company’s disclosures in merger proxy statement
Defended a foreign monetary authority in a federal lawsuit relating to the R. Allen Stanford $8 Billion Ponzi scheme
Part of a team that defended a midstream energy company in a dispute arising out of the sale of the company’s pipeline and gas plant assets in the Marcellus shale; defended claims that the company breached warranties in the purchase and sale agreement
Part of a team that obtained favorable settlement on behalf of publicly traded frac sand producer and supplier and its directors and officers in federal securities class action lawsuit alleging violations of Section 10b-5 of the Securities Exchange Act and Section 11 of the Securities Act arising from initial public offering; obtained dismissal in related derivative litigation in Texas state court
