Jim Fox is the Managing Partner of V&E’s New York office and is a member of the firm’s Management Committee.

Jim is a corporate lawyer whose practice includes private equity investments, mergers and acquisitions, capital markets transactions, and corporate governance. He helps clients navigate the challenges of a competitive landscape, collaborating with them to develop legal strategies to protect against meaningful risk while achieving important business objectives.

Jim has a wealth of experience working in the energy industry and has also advised clients in industrials, shipping and technology. He regularly counsels the management teams of private equity firms and public and private companies on a variety of investments, joint venture transactions, and divestitures, as well as on corporate governance and other general corporate matters.

  • Apollo Global Management in the formation of a joint venture with Altius Minerals Corporation’s subsidiary, Altius Renewable Royalties (“Altius”), to accelerate the growth of Great Bay Renewables, the US-based operating subsidiary of Altius and a leading provider of renewable energy development capital in North America

  • Riverstone Energy Limited (REL) and its subsidiaries in an agreement to invest in Aleph Midstream S.A., an independent Argentine oil and gas gathering and processing-focused midstream company, in line with REL’s previously-stated modified investment approach

  • Chisholm Oil and Gas in its strategic combination with Gastar Exploration to create a leading STACK E&P company

  • Spartan Energy Acquisition Corp., a special purpose acquisition company sponsored by an affiliate of Apollo Global Management, in its business combination with Fisker Inc., a developer of eco-friendly electric vehicles (pending)

  • Salt Fork Resources, a portfolio company of Riverstone Holdings, in the sale of natural gas and oil properties to Ascent Resources and cash contribution by Riverstone to Ascent

  • Double Eagle Energy Holdings III in the formation of DoublePoint Energy with FourPoint Permian, and DoublePoint’s subsequent acquisition of assets from undisclosed sellers

  • Pegasus Optimization Managers in a definitive agreement whereby EQT Infrastructure portfolio company Kodiak Gas Services acquired Pegasus

  • Riverstone Holdings in a $300 million equity commitment to Carrier Energy Partners, which is focused on the acquisition and exploitation of upstream oil and gas assets in North America through partnership with select operators, and in a $100 million equity commitment to Carrier Energy Partners II

  • Northwoods Energy, a portfolio company of Apollo Global Management, in the $500 million acquisition of SM Energy’s Powder River Basin assets

  • Riverstone Holdings in a $300 million commitment to Eagle Energy Exploration, which invests in oil and gas assets and related properties in the Mid-Continent region of the United States

  • Sanjel Corporation and affiliated entities as debtors in chapter 15 proceedings in Western District of Texas in relation to foreign main proceeding under Canadian Companies’ Creditors Arrangement Act (CCAA) and sale of domestic and international assets in the two proceedings 

  • Apollo Global Management in the acquisition of an approximately $1 billion portfolio from GE Capital’s Energy Financial Services unit

  • Riverstone Holdings in a $205 million equity commitment to Ridgebury Tankers, a newly-formed company focused on the acquisition and operation of vessels in the tanker sector

  • Trican Well Service in its definitive agreement with Keane Group, a privately-held, U.S. based well completion services company, for the sale of Trican’s United States pressure pumping fracking business 

  • Apollo Global Management in the formation of, and investment in, Double Eagle Energy Holdings III, an oil and gas exploration and production company focused on the Permian Basin, which has secured equity commitments of more than $1 billion

  • Riverstone Holdings in its $650 million sale of producing properties and acreage in the Mississippian Lime formation by its portfolio company, Eagle Energy Production, to Midstates Petroleum
