Matt’s practice focuses primarily on executive compensation and employee benefit matters. This involves advising clients with regard to the applicable tax, securities law, and corporate governance aspects of executive compensation arrangements and employment, severance, change in control, bonus, and retention agreements. Matt also advises clients on employee and compensation-related issues in mergers and acquisitions, initial public offerings, and private equity transactions.

- Talos Energy in its $1.1 billion acquisition of EnVen Energy Corporation, a private operator in the deepwater U.S. Gulf of Mexico 
- Stronghold Digital Mining, Inc., an ESG-focused crypto asset mining company focused on bitcoin, in its $146 million initial public offering of Class A common stock 
- Blackstone in its leveraged buyout of Geosyntec Consultants, an environmental and engineering consulting service company, including a revolving credit facility, delayed draw term loan and term loan 
- Focus Financial Partners, a leading partnership of independent, fiduciary wealth management firms, in its $7 billion acquisition by Clayton, Dubilier & Rice 
- Enable Midstream in its $7.2 billion merger with Energy Transfer 
- Queen’s Gambit Growth Capital in its $1.1 billion business combination with Swvl, a Dubai-based provider of transformative mass transit and shared mobility solutions 
- Prairie Operating Co. in its sale to Creek Road Miners, a cryptocurrency mining company that leverages mobile power generation units and mining facilities 
- Bonanza Creek Energy in its business combination with Extraction Oil & Gas to form Civitas Resources and Civitas’ subsequent acquisition of Crestone Peak Resources, creating a $4.5 billion combined company 
- Decarbonization Plus Acquisition Corporation II, a SPAC sponsored by an affiliate of Riverstone Holdings, in its $1.2 billion business combination with Tritium, a Brisbane-based developer and manufacturer of direct current fast chargers for electric vehicles
