Vinson & Elkins Advises Industrial Development Funding and Oaktree on $1.7 Billion Investment in AI Infrastructure Build-Out

Vinson & Elkins advised Industrial Development Funding (“IDF”) and its affiliates in connection with a $1.7 billion project investment supporting the deployment of Bloom Energy Corporation (NYSE: BE) fuel cell technology to provide behind-the-meter power for AI cloud infrastructure in Vineland, New Jersey. IDF served as lead developer of the project and secured financing through a tax equity investment from Morgan Stanley, a senior secured credit facility provided by MUFG Bank, and a junior credit facility provided by Oaktree. Vinson & Elkins also represented IDF in connection with the acquisition of the project from Bloom Energy, the negotiation of the capacity agreement with Nebius, and the negotiation of the ground lease with DataOne.

Another Vinson & Elkins team represented a group of Oaktree Capital-affiliated lenders in connection with a $150 million junior secured credit facility, consisting of an $80 million initial term loan and a $70 million delayed draw term loan to IDF 14 FinanceCo, LLC. The proceeds were used to fund project costs and capital contributions.
