Overview

Noelle’s practice is focused primarily on secured and unsecured domestic and cross-border financing transactions. She represents financial institutions, developers, investors, and private equity funds in all phases of project financings, acquisition financings, leveraged financings, private equity financings, syndicated loans, and restructurings. Noelle represents clients across a wide range of industries, including upstream and midstream oil and gas, power generation, restaurant franchises, oilfield services, shipping, and financial services. She has extensive experience in complex commercial security documentation, Uniform Commercial Code practice areas, and legal opinion practice.

Experience

  • An issuer in a $1.061 billion private placement to finance a cross border pipeline (2014 IJGlobal North America Project Bond Deal of the Year)

  • A private equity fund in high-yield bonds and revolving credit facility for [14] power plant

  • An international privately held company in a $1.6 billion secured first lien note agreement and a $676 million secured second lien note agreement 

  • Agent banks and the underwriters in connection with the syndicated bank and Rule 144A financing and re-financing of a 1,900 mile Canadian-U.S. gas pipeline

  • Ryckman Creek Resources, LLC, a subsidiary of EQT Infrastructure, in the project development and financing of a natural gas storage facility
