Vinson & Elkins advised CVR Energy, Inc. (NYSE: CVI) on its definitive agreement with subsidiaries of Marathon Petroleum Corporation (NYSE: MPC) to acquire Marathon’s St. Paul Park, Minnesota and Mandan, North Dakota refineries, and related marketing business for approximately $4.2 billion. The acquired business includes the 105,000 barrel-per-day St. Paul Park refinery, the 72,000 barrel-per-day Mandan refinery and a marketing business supplying approximately 590 branded locations across the Upper Midwest and Northern Great Plains and is expected to nearly double CVR Energy’s refining capacity. The transaction is expected to close by the end of 2026, subject to customary closing conditions and regulatory approvals.
