Vinson & Elkins advised Plains All American Pipeline, L.P. (NASDAQ: PAA) (“PAA”) in connection with an underwritten public offering (the “Offering”) of $1.5 billion aggregate principal amount of debt securities, consisting of $700 million aggregate principal amount of 6.750% Series A Junior Subordinated Notes due 2056 and $800 million aggregate principal amount of 7.000% Series B Junior Subordinated Notes due 2056. PAA intends to use the net proceeds from the Offering, together with cash on hand and commercial paper borrowings, to redeem all its Series A and Series B Preferred Units.
