Vinson & Elkins advised Group 1 Automotive, Inc. (the “Company”), a Fortune 250 automotive retailer, in connection with its acquisition of the dealership assets and associated real estate of Hennessy Automotive Companies (the “Transaction”). The Transaction is valued at approximately $1.3 billion and significantly expands Group 1’s presence in the Atlanta metropolitan market. The Transaction is expected to close by year-end 2026, subject to the satisfaction of customary closing conditions and the receipt of regulatory and other approvals. The Company expects to finance the Transaction through new debt, backstopped by a 364-day unsecured bridge facility committed by JPMorgan Chase Bank, N.A. Vinson & Elkins also advised the Company in connection with the bridge commitment.
The Vinson & Elkins team was led by Partners Scott Rubinsky and David Wicklund and Senior Associate Layton Suchma, with assistance from Associates Shelby Shearer and Nick Priebe. Other key team members included Partner Hill Wellford and Counsel Ryan Will.
