Vinson & Elkins LLP assisted Moss Lake Partners LP, a commodity infrastructure company focused on midstream logistics, in the (i) initial issuance of its convertible note to an industrials investor group, and (ii) structuring of preferred equity units, with the option for the initial purchaser to make additional investments in Moss Lake Partners and/or its affiliate in an amount up to $50 million.
Proceeds from the initial issuance will finance advanced development of the Company’s US asset projects and energy marketing strategy.
The Vinson & Elkins team was led partner Creighton Smith and senior associate Alex Turner, with assistance from associate Alex Riddle. Other key team members included partners Todd Way and Wendy Salinas and associate Dan Henderson; partner Darin Schultz and associate Kevin St. George; and partner Matthew Dobbins.
