Vinson & Elkins represented Lithium Americas Corp. (NYSE: LAC) (“Lithium Americas”) in connection with entry into a securities purchase agreement with YA II PN Ltd., an affiliate of Yorkville Global Advisors (“Yorkville”), pursuant to which Yorkville has agreed to purchase up to $175,000,000 aggregate principal amount of convertible debentures. Proceeds will further strengthen Lithium Americas’ liquidity position as it continues its development of Thacker Pass, which is designed to produce 40,000 tonnes per year of battery-grade lithium carbonate. The financing complements a $2.23 billion U.S. Department of Energy loan and strategic investments from General Motors Holdings LLC and funds managed by Orion Resource Partners, transactions on which Vinson & Elkins represented Lithium Americas.
