Vinson & Elkins is representing the underwriters in AGNC Investment Corporation’s offering of 13,800,000 depositary shares representing a 1/1000th fractional interest in a share of AGNC’s 8.75% Series H Fixed-Rate Cumulative Redeemable Preferred Stock, including 1,800,000 depositary shares issued pursuant to the underwriters’ overallotment option, for gross proceeds of $334,132,500.
In connection with the offering, AGNC granted the underwriters an option for 30 days to purchase up to an additional 1,800,000 depositary shares solely to cover overallotments. On September 5, 2025, the overallotment option was exercised in full.
The Vinson & Elkins team was led by partner Greg Cope with assistance from associates Glen Taylor, Selena Govan, and Kayla Duperrouzel. Other key team members were partner Paige Anderson and associate Addy Jackson.
