Vinson & Elkins LLP advised White Rock Energy, LLC, a portfolio company of Quantum Capital Group, in its sale of producing assets in the Elm Coulee field of the Williston Basin of Montana and North Dakota to a subsidiary of TXO Partners, L.P., a publicly traded master limited partnership (NYSE: TXO).
The agreement was signed in partnership with North Hudson Resource Partners LP (“North Hudson”), whose affiliates will acquire a 30% non-operated interest in the White Rock assets. The total consideration for the acquisition of White Rock’s Elm Coulee properties is $475 million.
The Vinson & Elkins corporate team was led by partners John Grand and Robert Hughes and senior associate David Latham, with assistance from associates Pranay Malempati and Devon Espinoza-Fontenot.
