Vinson & Elkins advised the State Oil Company of the Azerbaijan Republic and SOCAR Turkey Enerji A.Ş. on the issuance of a non-controlling stake in a subsidiary that holds a 7% interest in TANAP Doğalgaz İletim A.Ş., the owner and operator of the Trans-Anatolian Natural Gas Pipeline (“TANAP”), to Apollo Funds. The transaction is valued at $1 billion. TANAP is the central section of the Southern Gas Corridor pipeline system which connects the Shah Deniz gas field in Azerbaijan to markets in Europe. TANAP runs for approximately 1,800 km across Türkiye, linking to the South Caucasus Pipeline (at the border between Türkiye and Georgia) and the Trans Adriatic Pipeline (at the border between Türkiye and Greece). The pipeline plays a crucial role in Europe’s energy security.
