Vinson & Elkins advised the initial purchasers, led by BofA Securities, Inc., in connection with the offering of $1 billion aggregate principal amount of senior notes due 2034 by SM Energy Company (the “Issuer”) (NYSE: SM). The offering priced on Wednesday, March 4, 2026, and is expected to close on Monday, March 9, 2026, subject to customary closing conditions. The Issuer intends to use net proceeds from the offering to fund its previously announced offer to purchase for cash up to $750 million of its outstanding $1.350 billion principal amount of its 8.375% senior notes due 2028 and for general corporate purposes, including additional repayment of the Company’s 2028 Notes.
