Vinson & Elkins Advises Crescent Energy on Financing Transactions and Acquisition of Devon’s Eagle Ford Assets

Vinson & Elkins served as issuer’s counsel for Crescent Energy Company (the “Company”) in connection with an underwritten public offering of $1,000,000,000 of shares of its Class A common stock, par value $0.0001 per share (the “Common Stock”), at a price to the public of $12.50 per share, plus up to an additional $150,000,000 of shares of Common Stock the underwriters’ option to purchase additional shares (the “Offering”). The Offering is expected to close on October 13, 2026.

The Company intends to use the net proceeds to fund a portion of the cash consideration for its recently announced acquisition of certain Eagle Ford oil and natural gas assets from Devon Energy Production Company, L.P., a subsidiary of Devon Energy Corporation, for an estimated net purchase price of approximately $3.85 billion (the “Acquisition”). In addition to its role as counsel to the Company for the Offering, Vinson & Elkins also served as counsel to the Company with respect tothe Acquisition and associated debt financing matters.
