Vinson & Elkins LLP advised AirJoule Technologies Corporation (the “Company”) in connection with an underwritten public offering of 7,076,924 shares of the Company’s Class A common stock, par value $0.0001 per share (the “Class A Common Stock”), at a price to the public of $3.25 per share, for total net proceeds of approximately $22 million, which was inclusive of 923,077 shares of Class A Common Stock being issued pursuant to the underwriter’s exercise of its option to purchase additional shares under the Underwriting Agreement. The transaction closed on January 15, 2026.
