Vinson & Elkins advised the underwriters in an initial public offering by Rice Acquisition Corporation 3, a special purpose acquisition company sponsored by affiliates of Rice Investment Group and Mercuria, of 34,500,000 units for an aggregate offering price of $345,000,000.
The offering closed Thursday, October 2, 2025. The SPAC intends to search for a business combination target in the broadly defined energy value chain, particularly the upstream oil and gas, power generation, energy infrastructure, and critical metals and minerals subsectors.
The Vinson & Elkins team was led by partners Stancell Haigwood and Ramey Layne and senior associate Elisie Lee, with assistance from associates Lindsay Moore and Adrian Hernandez.
