Vinson & Elkins represented Energy Vault Holdings, Inc. (NYSE: NRGV) (“Energy Vault”) in connection with a $140,000,000 aggregate principal amount debut Rule 144A marketed convertible notes offering of 5.250% convertible senior notes due 2031 (the “Notes”) and related capped call transactions. The offering closed on February 17, 2026. Proceeds from the offering were used to fund the capped call,refinance existing convertible notes held by a private investor and for general corporate purposes. Energy Vault also granted the initial purchasers of the Notes an option to purchase, for settlement within a 13-day period, beginning on, and including, the date on which the Notes are first issued, up to an additional $20.0 million aggregate principal amount of the Notes.
