David represents issuers and underwriters in connection with capital markets financings, with a focus on high-yield and other debt securities offerings. He also has significant experience in convertible debt and equity offerings and related equity derivative products. David has particular experience in the energy industry, having worked on numerous transactions involving oil and gas companies, midstream companies, refiners, and oilfield service companies. He also has significant experience in the chemical, shipping, automotive, homebuilding, electronics, and airline industries. His work has been recognized nationwide by Legal 500 U.S. and Chambers USA in high-yield debt offerings. His clients describe him as a “very pragmatic high-yield debt lawyer” and a “great thinker with creative solutions always at hand” (Chambers USA 2024).
David spent approximately two years in the firm’s London office, where he gained valuable international transactional experience by working on a broad array of international financing transactions.
In the past five years alone, David has advised on more than a hundred capital markets offerings
Representing domestic issuers or underwriters in connection with numerous public and private offerings of secured and unsecured high-yield debt securities, convertible debt and equity securities, investment-grade debt securities, common and preferred stock (including initial public offerings), and a range of liability management transactions such as tender offers and consent solicitations
International financing transactions, including a Japanese yen denominated bond financing, a Shariah-compliant Islamic financing, Euro and Canadian dollar denominated offerings, and a number of U.S. capital markets offerings by foreign issuers
More than a dozen public mergers and acquisitions, as well as a number of significant private acquisitions, divestitures, and investment transactions
