Vinson and Elkins represented Pine Run Gathering LLC, a midstream company owning and operating a gas gathering and compression system in the Marcellus Shale within Western Pennsylvania, in a $163 million senior secured term loan financing and related commitments to fund the acquisition of Superior Midstream Appalachian, LLC, another midstream company owning and operating four gathering systems in Appalachia.
Pine Run Gathering LLC is a joint venture owned by Stonehenge Energy Resources III, a portfolio company of Energy Spectrum Partners VIII LP, and UGI Energy Services, LLC, a subsidiary of UGI Corporation (NYSE: UGI).
The Vinson & Elkins team was led by partner Mike Bielby and associate Natalie Harrison, with additional assistance provided by associates Meghan Dobbins and Syed Rizvi. Also advising were partner Wendy Salinas and associate Patrick Darby; partner John Decker.
