Demand for data center capacity has outpaced supply in nearly every major market, thanks to cloud growth and the AI compute boom. That imbalance is reshaping how these deals get sourced, negotiated, and financed, pushing issues that used to be afterthoughts front and center. Here are five strategies for navigating today’s data center leasing market.
1. Lock Down Firm Power Before You Value the Site
Access to reliable, scalable power is what makes or breaks a project these days. Interconnection queues, utility capacity limits, and multi-year energization timelines mean a site without a firm power commitment is a gamble at best. Parties should pin down the source, amount, and timing of committed power before putting a value on a site and look at on-site generation or behind-the-meter options where grid delivery is uncertain.
2. Diligence Zoning and Permitting Early — and Plan for Community Pushback
Zoning changes, moratoria, and local pushback over noise, water use, and energy consumption are increasingly slowing down or killing projects. Entitlements that used to be routine can’t be taken for granted anymore. Parties should dig into the site’s zoning and permitting status early, build delay risk into the schedule, and think through community engagement before a project becomes a local flashpoint.
3. Match the Lease to the Power and Cooling Load
AI workloads have pushed rack densities and cooling needs way past legacy assumptions, straining facilities built for lighter loads. Traditional space-based leases just don’t fit power- and cooling-heavy deployments. Parties should confirm up front that the facility can handle the intended density and liquid-cooling needs. The parties should agree on how and when infrastructure can be upgraded as compute demands grow over the term of the lease.
4. Set Delivery Schedules with Clear Remedies and Realistic Excusable-Delay Terms
Long lead times for transformers, generators, switchgear, and cooling equipment have made on-time delivery one of the hardest things to pin down. Parties should agree on delivery milestones up front, along with a clear list of excusable delays (for example, supply chain hiccups, force majeure, and utility or permitting holdups) that fairly allocate the risks neither side can control. Where delivery remedies come into play, the parties should size liquidated damages and any step-in or termination rights to a realistic outside date, and should factor in tenant-side dependencies so design changes or approval delays move the schedule too. Landlords get certainty around delays and their exposure, while tenants get predictable milestones and real remedies if delivery slips.
5. Negotiate Exit Flexibility and Allocate Regulatory Risk Up Front
Data center assets are increasingly financed through sale-leasebacks, joint ventures, and structured capital, putting a premium on assignment, subletting, and financing rights. On top of that, energy regulation, data sovereignty, and national security review pile on extra layers of oversight. Parties should negotiate exit and transfer flexibility up front and nail down how regulatory risk gets allocated, so a shift in strategy or ownership doesn’t create headaches down the road.
