Overview

Alexa’s practice focuses on advising companies on developing, protecting, licensing, and enforcing intellectual property rights, as well as on other technology-related legal matters.  She has experience drafting and negotiating IP licenses and development agreements, and representing clients during mergers, acquisitions, and other complex transactions. Alexa advises clients on a range of issues that are driven by technology, including artificial intelligence and software deployment.

Experience

  • Apollo Global Management in the acquisition of Eagle Creek Renewable Energy, a leading independent owner and operator of hydroelectric facilities across the U.S.

  • Live Oak Acquisition Corp. II in its $1.4 billion business combination with Navitas Semiconductor, the industry leader in Gallium nitride power ICs

  • Numerous data center developers and AI companies in aspects of multiple different digital infrastructure projects around the country

  • Atlas Energy Solutions Inc., a leading proppant producer and proppant logistics provider, in its agreement with Kodiak Robotics, Inc., a leader in autonomous ground transportation, whereby Kodiak will deploy bespoke autonomous driving technology in Atlas’ high-capacity trucks

  • Apollo Global Management in connection with the sale by New Fortress Energy of 11 LNG infrastructure vessels to a newly formed venture owned approximately 80% by Apollo-managed funds and 20% by NFE, in a transaction valued at approximately $2 billion

  • Lone Star Funds in the acquisition of AOC, a leading global producer of specialty resins, from CVC Capital Partners

  • California Resources Corporation in ongoing development of a series of carbon capture and storage projects and other emissions reducing projects, including its Carbon TerraVault projects

  • Atlas Energy Solutions (NYSE: AESI) in its $220 million acquisition of Moser Energy Systems, a leading provider of distributed power solutions

  • The Blackstone Group in its leveraged buyout of a majority investment in Geosyntec Consultants, Inc., an environmental engineering and design consulting firm

  •  EnCap Energy Transition in connection with a strategic commercial agreement between Baker Hughes (NASDAQ: BKR) and Mantle Reach Power, an EnCap Energy Transition Fund III portfolio company. 

  • Global Infrastructure Partners in the acquisition of a 50% interest in the multi-billion dollar South Fork and Revolution Offshore Wind Projects from Eversource Energy, including the negotiation of the joint venture arrangements with Orsted for the construction and operation of the projects and all financing arrangements (IJInvestor Joint Venture of the Year, 2024)

  • Major sports league in negotiating agreements related to wearable technology for player tracking 

  • Riverstone Holdings, as lead investor, in connection with a $40 million Series C funding round of T-REX Group, Inc., a SaaS provider supporting the asset-backed financing industry

  • Major sports league in negotiating media licensing agreements related to international broadcasting of games

  • Cancer treatment-focused biotechnology company in negotiating a research agreement with the University of Michigan for the research and development of cell culture and scaffolding technology

  • Miracle Foundation, Inc., an international nonprofit, in the negotiation of software development agreements related to the development of mobile applications used by foster care families and case workers and used to assist in transitioning children from orphanages to families

  • Multinational conglomerates and early-stage companies in counseling related to various intellectual property matters including drafting terms of use and website development and hosting agreements

  • FLASH, the leader in cloud parking software and mobility transformation, in a $250+ million strategic investment led by Vista Equity Partners, with participation from L Catterton, other prior investors and management

  • ARA Partners in a strategic investment in Divert, which offers technology-enabled resource recovery solutions for food retailers

  • ArcBest Corporation in its $235 million acquisition of Molo Solutions, a truckload freight brokerage
