Meredith is a member of the firm’s Complex Commercial Litigation group. Her practice focuses on representing companies, partnerships, and officers and directors in securities litigation, M&A litigation, and general commercial disputes. She has represented clients at the trial and appellate levels in state and federal courts.
Securities and M&A Litigation
(Del. Super. Ct.) – Defended beverage company against tortious interference claim relating to an acquisition, which was settled shortly before trial
(Del. Ch.) – Defending private equity sponsor against fraud claims relating to sale of its portfolio company
Member of trial team that obtained opinion permitting Energy Transfer Equity, LP to terminate $38 billion merger agreement with The Williams Companies based on the failure of a condition precedent; decision was affirmed by the Delaware Supreme Court
Member of trial team that secured a trial victory on behalf of a master limited partnership after the court rejected attempt by unitholder plaintiffs to unwind a private securities offering; decision was affirmed by the Delaware Supreme Court
Obtained dismissal of breach-of-duty claims challenging merger of two investment companies funded by the same private equity sponsor
Obtained dismissal of breach-of-duty claims on behalf of an oilfield services company and its directors in litigation challenging a $2.8 billion merger; the Chancery Court subsequently denied plaintiff’s motion for fees
Represented a private equity master limited partnership sponsor in a lawsuit relating to the dilution of our client’s retained interest in the underlying partnership; obtained favorable mid-trial settlement
Obtained dismissal of breach-of-contract claims brought by warrant-holders in connection with a merger
Obtained favorable settlement on behalf of oilfield services company in federal securities class action lawsuit
Defeated unitholder’s attempt to enjoin a merger between a master limited partnership and its affiliate under federal securities laws
Obtained summary judgment for a master limited partnership and its directors in a breach-of-duty derivative lawsuit challenging the partnership’s merger under Delaware law
Represented individuals in seeking guardianship of the person over their incapacitated adult children
