Lauren advises partnerships, corporations, and individuals on federal tax planning matters. Her practice also focuses on the federal income tax aspects of domestic and international transactions, including mergers and acquisitions (M&A), restructurings, capital markets transactions, and fund formation.

  • A global investment firm with respect to tax issues arising from its investment in insurance subrogation claims against Pacific Gas & Electric relating to losses suffered by victims of the Northern California wildfires

  • A private equity fund in the formation of an approximately $8.2 billion fund targeting investments in North America, Europe, Asia Pacific and Latin America

  • Talos Energy in multiple acquisitions of U.S. Gulf of Mexico producing assets, exploration prospects and acreage from affiliates of ILX Holdings, Castex Energy and Venari Resources for $640 million

  • OneWater Marine Inc. in its $64 million initial public offering of Class A common stock utilizing an Up-C structure

  • Direct Energy in its $300 million sale of Clockwork, a home services franchise platform, to Authority Brands 

  • Thorntons, a Kentucky-based convenience store chain, in its sale to a joint venture between ArcLight and BP

  • Apollo Global Management in the acquisition of a majority interest in Tidewater Logistics, a leading provider of frac sand supply chain solutions
