Overview

Dan’s practice focuses on the federal income tax aspects of mergers & acquisitions and capital markets transactions. He has represented many of the firm’s clients in partnership and corporate transactions, including public and private mergers & acquisitions, joint ventures, reorganizations, private equity, real estate investment funds, and master limited partnerships.

  • Noble Energy in its $13 billion sale to Chevron

  • Tortoise Acquisition Corp. in the $1 billion business combination with Hyliion Inc., a developer and manufacturer of electrified powertrain solutions for Class 8 commercial vehicles that significantly reduce emissions

  • Frank’s International in its merger with Expro Group

  • Felix Energy in its $2.5 billion cash and stock sale of the company to WPX Energy

  • Pegasus Optimization Managers, an Apollo portfolio company, in its sale to Kodiak Gas Services, an EQT Infrastructure portfolio company

  • Buckeye Partners, L.P., as special tax counsel, in its $10.3 billion sale to IFM Investors to take the company private 

  • Enviva Holdings in the $870 million sale of all of its ownership interests to Enviva Partners

  • Jera Asset Management and Setzer Properties in formation of a joint venture with the Australian Superannuation Pension Fund, including the roll-up of a seed portfolio of net leased transportation terminal and logistics properties

  • Mercuria Investments in the $169 million acquisition of Beyond6, an alternative fuels solution platform supporting the decarbonization of heavy-truck transportation, from HC2 Holdings (now Innovate Corp. (NYSE: VATE))

  • Talen Energy Corporation and Cumulus Growth Holdings and its subsidiaries in connection with the restructuring of Talen Energy Supply and its chapter 11 cases

  • Enviva in a simplification transaction and MLP-to-corporation conversion

  • Crestwood Equity Partners in the $7.1 billion sale of the company to Energy Transfer in an all-equity transaction

  • EnCap Investments L.P. in the $4.275 billion sale of substantially all leasehold interest and related assets of Black Swan Oil & Gas, PetroLegacy Energy and Piedra Resources, to Ovintiv Inc.

  • Tap Rock Resources in the $2.45 billion ($1.5 billion in cash and $950 million in stock) sale of the equity of entities holding oil and gas assets in the Delaware Basin to Civitas Resources

  • Novo Oil & Gas Holdings, a privately-held Delaware Basin focused E&P company backed by EnCap Investments, in its $1.5 billion sale to Earthstone Energy Inc.
