Vinson & Elkins’ Structured Finance team advises public and private entities and employs innovative and practical financing strategies across asset classes and financing sources. We employ a wide variety of complex structures to minimize funding costs and maximize investment returns, and we are at the forefront of representing clients in synthetic, leveraged, and other structured lease transactions involving fixed assets, including power plants, chemical plants, refineries, pipelines, offshore oil and gas production facilities, gas processing facilities, coker facilities, other factories, office buildings, retail facilities, airport landing rights, aircraft, light rail vehicles, passenger buses, and other equipment. We represented the lenders in the first synthetic lease transaction in Latin America.
V&E Finance lawyers have a nuanced understanding of debt and capital markets, finance products, and the legal, tax, and regulatory aspects of structured finance. This enables us to help clients structure, document, and execute complex financings using a wide variety of techniques and structured finance products. Our team includes lawyers skilled in investment fund management, securitizations, securities matters, tax, real estate, banking, restructuring and reorganization, as well as ERISA and FERC. This enhances our ability to offer clients sophisticated, comprehensive, and cost-efficient legal counsel on their most challenging finance transactions.
V&E represents issuers and sponsors of securitizations in the public or 144A capital markets, underwriters, arrangers, project developers, facility users, commercial bank syndicates, insurance companies, and equity financiers. We bring to each transaction in-depth knowledge of structured finance techniques, comprehensive understanding of debt and capital markets, and significant experience in entity selection, and true sale and non-consolidation opinions.
