Lawrence S. Elbaum Partner, Commercial & Business Litigation

Lawrence is a litigator and business advisor with over a decade of experience defending public and private companies in complex securities and commercial litigation and regulatory investigations in state and federal courts and administrative and alternative dispute resolution proceedings throughout the Unites States. 

As co-head of V&E’s Shareholder Activism Practice and its chief litigator, he leverages these experiences to counsel senior management and boards of public companies with respect to proxy contests and other shareholder activism campaigns, corporate governance matters, and strategic investor relations.

  • Representing public and private companies, and their boards, in the financial services sector, as well in the energy, manufacturing, retail/apparel, hospitality, real estate and pharmaceutical industries, in connection with securities and commercial litigation brought in state and federal courts (including, in the last five years, in AL, AZ, CA, CO, CT, DE, FL, MD, NE, N.J., N.Y., NV, PA and TX) and before the SEC and in domestic and international arbitrations and proceedings 

    • Guiding clients through regulatory investigations concerning the clearance and settlement of complex securities, including derivatives and fixed income instruments
    • Representing debtors, secured creditors, and other interested parties in the financial services sector, as well as in the energy, manufacturing, restaurant, hospitality and real estate industries, with respect to litigation and contested matters in Ch. 11 bankruptcies, out-of-court restructurings and post-bankruptcy proceedings (including, in the last five years, in AL, DE, FL, MA, N.Y., TX and VA)
    • Advising financial market utilities in connection with investigations by Chapter 11 and SIPA trustees overseeing the Lehman Brothers, MF Global, and Madoff bankruptcies

      Trade Secret, Unfair Competition & Restrictive Covenant Litigation

      • Lawrence also counsels clients (both employers and executives) with respect to the drafting, negotiation, interpretation, and enforcement of restrictive covenants and confidentiality agreements, with a particular emphasis on the financial services industry)
