Doug has an extensive corporate and securities law practice, emphasizing transactional and governance matters. His corporate finance practice includes representing public and private companies, investment banks, and private equity funds in initial public offerings, and other public and private equity and debt offerings. He also advises companies, private equity funds, and financial advisers concerning merger and acquisition transactions.
In addition, Doug counsels public clients regarding compliance with periodic reporting, proxy solicitation, and corporate governance matters. He has particular experience with clients engaged in the energy industry, including oil and gas exploration and production, midstream, oilfield service, oilfield equipment manufacturing, and supply and seismic companies. Doug also advises clients in connection with the formation of master limited partnerships (MLPs). According to The
Texas Lawbook, Doug was the leading issuer’s counsel in Texas for
securities offerings in 2015 by offering count. He was involved with 10 of the 13 domestic
energy IPOs publicly announced (or connected to a dual-track process that was
publicly announced) during 2016.
