Dario’s practice focuses
primarily on a wide range of executive compensation and benefits matters. His
practice involves designing, drafting, negotiating, implementing, and
administering a broad variety of executive compensation and benefits
arrangements, including executive employment agreements, severance agreements,
change of control plans and deferred compensation arrangements, as well as
equity-based compensation vehicles and incentive arrangements. He also advises
clients on applicable tax, securities, corporate governance and disclosure
implications relating to the foregoing, including but not limited to
performance-based compensation requirements, golden parachute payments and
Section 409A deferred compensation.
Dario also advises public and
private companies on compensation and benefits issues that arise in mergers,
acquisitions, sales, joint ventures, initial public offerings, private
offerings, restructurings and a wide range of other transactions, domestic and
international. He has represented new and existing publicly-traded
corporations, partnerships (including master limited partnerships) and real
estate investment trusts (REITs), privately-held companies, private equity
funds and portfolio companies, boards of directors, compensation committees,
management teams and individual executives.
