Alan J. Alexander Senior Associate, Energy Transactions & Projects

Alan’s practice focuses on project development, project financings and joint ventures. He has experience working with petrochemical companies, midstream developers, exploration and production companies, and financial investors on complex projects and transactions in the upstream, midstream and downstream sectors. In addition, Alan lived and worked in Mexico and has significant experience working with clients on matters and projects in Mexico's energy sector in the wake of the country's energy reforms of 2013 and 2014.

Alan assists clients in the negotiation and drafting of development agreements, FEED agreements, EPC contracts, limited liability company agreements (including for series limited liability companies), operating and maintenance agreements, offtake agreements, feedstock supply agreements, financing arrangements, joint operating agreements, joint venture arrangements, farm out agreements and asset purchase and sale agreements. The following is a list of representative matters in which Alan has assisted.

Experience Highlights

  • OCI N.V. in a joint venture with Dakota Gasification Company to form N-7 LLC, a jointly owned company that will market, distribute and sell nitrogen fertilizers, industrial ammonia and diesel exhaust fluid in North America
  • Talos Energy LLC, as member of a consortium and Operator, in its successful bid for two awarded offshore blocks in Mexico’s first hydrocarbons auction and other matters in respect of their operation and joint ownership
  • Dyno Nobel Inc. in the development of an $850 million anhydrous ammonia plant in Louisiana, including project development arrangements, real estate and environmental matters, and ammonia offtake
  • Concho Resources in the $1.125 billion sale of its interests in Alpha Holding Company, the owner of the Alpha Crude Connector system, to Plains All American Pipeline 
  • A private midstream operating company in four-party joint venture arrangements for the development of a $400 million 67-mile natural gas gathering line in the region overlying the Marcellus Shale

Project Development

  • A multinational state-owned entity based in the Middle East in the development and implementation of world-scale facilities, using a patented third-party oxidative coupling of methane process for the production of ethylene
  • A private equity-backed fertilizer company in the proposed development and project financing of a fertilizer production facility, including the negotiation of EPC contracts, feedstock supply and transportation agreements, offtake agreements, and the air permit
  • Gulf Coast Ammonia (a joint venture of Agrifos, Mabanaft and Macquarie) as project counsel in the development and financing of a world-scale ammonia project in Texas
  • Energy company with credit support arrangements related to expanding pipeline capacity and supplying natural gas for a proposed LNG export terminal
  • Global energy company in the renegotiation and restructuring of a bareboat charter and O&M agreement for an FPSO on-location in offshore Nigeria
  • International trading company in the expansion of terminal facilities in the Port of Corpus Christi, including the development of two separate condensate splitter units

Energy–Upstream Oil & Gas

  • Key Energy Services, Inc, in the sale of assets located in Mexico and the disposition of its Mexican business unit
  • Concho Resources Inc. in the $290 million sale of 14,000 net acres located in Loving County, Texas, to Silver Hill Energy Partners II, LLC 
  • Big Star Oil and Gas, LLC in connection with Callon Petroleum Company’s definitive agreements with three private entities to acquire certain assets operated by Big Star for total consideration of $220 million in cash and approximately 9.3 million shares of Callon common stock
  • Apollo Royalties Management, LLC in the negotiation of dozens of transactions for the purchase of mineral interests, royalty interests and overriding royalty interests located in various basins across the United States
  • Pioneer Natural Resources in its $1.7 billion joint venture with Sinochem to develop 207,000 acres in the Permian Basin
  • Apollo Global Management and Riverstone Holdings in the $7.15 billion acquisition, among a consortium of investors, of El Paso Corp.'s upstream assets
  • Pioneer Natural Resources in the $300 million sale of Pioneer Natural Resources Alaska, Inc., its wholly owned subsidiary, to Caelus Energy
  • SandRidge Energy in its $1 billion sale and development joint venture with Repsol in the Mississippian Lime
  • Private E&P client in the sale of its final significant oil and gas property, the winding down of its limited liability company, and the formation of a liquidating trust to dispose of its remaining assets

Energy–Midstream Oil & Gas

  • Pioneer Natural Resources in the $2.15 billion sale of EFS Midstream, an Eagle Ford Shale midstream company jointly owned with Reliance Holding USA, Inc., to Enterprise Products Partners 
  • M3 Midstream in the $575 million purchase of membership interest of Utica East Ohio Midstream LLC from EV Energy Partners, L.P. 
  • Enbridge Energy Partners in a $2.6 billion joint venture with Marathon Petroleum Corporation to construct the Sandpiper pipeline project, an approximately 610-mile interstate crude oil pipeline originating in North Dakota
  • DCP Midstream LP in the formation of its joint venture with Spectra Energy and Phillips 66 to develop and operate a 720 mile natural gas liquids pipeline from west Texas to the Gulf Coast
  • Copano Energy, Inc. in a joint venture with Kinder Morgan to provide gathering, transportation, and processing services to natural gas producers in the Eagle Ford Shale of South Texas
