Climate Resilience & Adaptation

Across jurisdictions and sectors, the data shows a world with more frequent and intense physical risks.1 United Nations assessments report that the global average temperature is currently about 1.1°C above pre‑industrial levels, which may be contributing to increases in extreme heat, heavy precipitation, rising sea levels and agricultural and ecological droughts in certain regions. Markets are adjusting. Capital is flowing toward businesses, projects, and investors that account for these realities, reflected in growing volumes of commitments to resilient infrastructure. In this context, Vinson & Elkins helps clients finance, permit, construct, and complete the critical infrastructure needed to perform under evolving physical conditions while meeting regulatory, commercial, and investor expectations.
Building resilient, bankable assets for business continuity and long-term value. V&E advises sponsors, developers, investors, lenders, and public-sector partners on the full lifecycle of projects that harden critical infrastructure, modernize essential services, and protect and adapt operations from physical risk. Our cross-disciplinary team integrates environmental and regulatory counsel with market-leading project development, finance, and transactional execution to deliver resilient, revenue-generating assets at scale. We meet clients where they are—framing resilience as smarter underwriting, better contracts, and future-proof asset stewardship—so projects can be planned, win approvals, attract capital and be brough online.
What We Do
Infrastructure adaptation and resilient development. We structure, permit, and finance climate and extreme weather-adaptive infrastructure, including coastal and inland flood defenses, elevated transportation corridors, stormwater systems, and resilient transit. For coastal and high-risk geographies, we guide zoning and building code strategies, redevelopment entitlements, right-of-way and land use, and public-private partnerships that unlock delivery at scale.
Grid hardening, distributed energy, and critical power. We develop and finance reliability-focused energy solutions—substation hardening, undergrounding, microgrids, distributed generation, storage, and black-start and islanding capabilities. We address the regulatory, interconnection, and market design issues that underpin resilient electricity supply for data centers, hospitals, ports, industrial facilities, and municipalities.
Water stress and resource management. We advise on water reuse and recycling, desalination, watershed-scale storage, and industrial process water solutions, including legal frameworks for produced water conversion and discharge. Our team supports project siting and permits, long-term offtake and supply contracts, and innovative capital structures for water tech and large-scale treatment assets, whether in water-stressed and drought-prone regions or in other geographies where reliable access to water is necessary.
Carbon management and nature-based engineering. We counsel on the development, siting, permitting, and financing of direct air capture and carbon capture, utilization, and storage, as well as ecosystem services projects that deliver flood protection, erosion control, and heat mitigation. We align tax incentives, revenue contracts, and environmental approvals to enhance project bankability.
Disaster risk and recovery planning. We help clients prepare for, respond to, and recover from extreme events. Our work spans insurance recovery and coverage disputes, business continuity planning for critical industries, relocation and site diversification strategies, and the structuring of municipal and sovereign risk and resilience bonds.
Resilient investment and asset management. Our lawyers structure risk allocation in construction, operations & maintenance, and supply arrangements, including force majeure modernization and climate-focused addenda and warranties.
Supply chain and trade resilience. We map legal risks across logistics networks, design redundancy and dual-sourcing structures, and advise on port, rail, inland shipping, and warehouse modernization. We represent clients in trade and arbitration matters tied to border measures and climate-related disruptions.
Regulatory readiness and disclosure. We guide compliance with evolving physical risk disclosure regimes and adaptation mandates, align client practices with investor expectations (including SFDR-aware LPs and state-level climate risk reporting to meet regulatory mandates), and represent clients in investigations, enforcement actions, and climate-focused audits. We also optimize access to incentives, grants, and blended finance tools that support resilience.
Agriculture and land systems. We structure ag-tech and land transactions for drought- and flood-resilient operations, negotiate water rights and sustainable land use, and advise on cross-border food security and agricultural trade.
Government policy and public finance. We advise public entities on resilience strategy and program design; negotiate intergovernmental agreements; and structure concession, availability, and user-fee arrangements. We bring deep experience with development finance institutions, multilateral banks, and public grant programs to help close funding gaps.
Technology, data, and IP. We represent climate and resilience technology companies and their investors on growth financings, IP protection, data rights, and liability frameworks for analytics and forecasting tools used in underwriting, operations, and emergency response.
How We Work
Execution first. Resilience succeeds when projects are buildable, financeable, and durable. We design transactions around bankability, with disciplined risk allocation from development through operations.
Integrated diligence. We embed physical risk analysis into legal diligence and disclosure, coordinating seamlessly with engineers, insurers, and data providers to turn risk insights into actionable contract terms, performance standards, and capex programs.
Audience-specific positioning. We tailor strategies to investor and regulatory contexts. For EU-linked capital and California-based investors, we emphasize governance readiness and disclosure alignment. For broader U.S. markets, we lead with business continuity, asset performance, and reliability.
Capital stack fluency. We map which resilience solutions clear on a purely commercial basis, and where public tools, incentives, or blended finance are required. Our team structures PPPs, availability-payment models, tax equity, project bonds, private credit solutions, and concession frameworks that bring complex resilience projects to financial close.
Where We Focus
We concentrate on “steel-in-the-ground” solutions with immediate value to asset owners and communities, including grid modernization and microgrids; flood and storm surge protections; coastal and inland water management; data center and industrial facility hardening; resilient transportation and logistics; and water reuse, desalination, and storage.
