Wail’s practice includes capital markets, regulatory compliance, corporate governance, M&A, and contractual disputes.

A Saudi national, Wail previously served as Chief Legal Counsel at the Ministry of Finance, where his responsibilities included setting internal rules and regulations, and overseeing the development of regulations and market policies. Specifically, he led the team that concluded the development and issuance of the new Government Procurement Law and its Implementing Regulations.

Wail is dually US and Saudi law qualified.

  • Saudi Aramco in connection with its agreement with Jacobs Engineering to form a Saudi Arabia-based joint venture company to provide professional program and construction management services for social infrastructure projects throughout Saudi Arabia and across the Middle East and North Africa

  • Saudi and foreign clients in the formation of joint venture companies, including with respect to negotiating constitutive corporate documents, shareholders’ agreements, technical services, and share-purchase agreements

  • Saudi and foreign clients regarding a wide range of distribution, agency, and franchise matters

  • Saudi entities on setting local Capital Market Authorized persons

  • Advising the board of a major sovereign wealth fund on various legal issues in relation to legal corporate structuring of local and international investments including in relation to M&A transactions as well as contracting and regulatory compliance

  • Advising on IPOs and private placements including conducting due diligence, drafting private placement memoranda

  • A Middle Eastern national oil company on establishing corporate investment vehicles, drafting and negotiating trust deed, trustee and custodian engagement agreements

  • A Middle Eastern national oil company on joint venture projects covering joint venture, feedstock supply, marketing and off-take, project financing, technology licensing, asset contribution as well as environmental liability indemnification agreements

  • A Middle Eastern national oil company on licensing its captive electrical power generation activities and negotiating power purchase and sale agreements

  • Advising on establishing an endowment investment program for a Saudi Arabian university for Science and Technology

  • Advising on foreign investment by acquisition of shares in local entities including conducting due diligence on the target company and drafting related agreements

  • Providing advice related to employment disputes and regulatory corporate compliance

  • Previously Chief Legal Counsel at the Ministry of Finance, working closely with H.E. the Minister of Finance on major regulatory reforms and transactions, including overseeing the development and issuance of the new Government Procurement Law and its Implementing Regulations
