Patrick Whelan

Patrick’s practice focuses primarily on mergers and acquisitions, joint ventures, and project development. His clients include publicly traded energy companies, private equity funds, portfolio companies, and financial services companies. He advises these clients in connection with the acquisition, development, financing, and disposition of oil and gas and other energy and infrastructure assets in the United States and internationally.

  • Pegasus Optimization Managers in a definitive agreement whereby EQT Infrastructure portfolio company Kodiak Gas Services acquired Pegasus

  • Chisholm Oil and Gas in its strategic combination with Gastar Exploration to create a leading STACK E&P company

  • Starwood Energy Group Global in its acquisition of Third Coast Midstream’s Lavaca gas gathering system

  • Salt Fork Resources, a portfolio company of Riverstone Holdings, in the sale of natural gas and oil properties to Ascent Resources and cash contribution by Riverstone to Ascent

  • Double Eagle Energy Holdings III in the formation of DoublePoint Energy with FourPoint Permian and DoublePoint’s subsequent acquisition of assets from undisclosed sellers

  • Titanium Exploration Partners, LLC in connection with the sale of certain conventional assets in Oklahoma’s SCOOP play to Red Rocks Energy Partners, L.P.

  • Old Ironsides Energy, LLC in connection with their sale to Carbon Energy Corporation of membership units representing 73.50% of Carbon Appalachian Company, LLC

  • Apollo Global Management in the acquisition of an approximately $1 billion portfolio from GE Capital’s Energy Financial Services unit

  • Whistler Energy II (operating in the Central Gulf of Mexico) in connection with its $100 million acquisition by Talos Energy

  • Caelus Alaska Exploration Company in the sale of 124 exploration leases (for a total of approximately 350,000 acres) onshore in the Eastern North Slope of Alaska to Eni Petroleum US

  • Northwoods Energy, a portfolio company of Apollo Global Management, in the $500 million acquisition of SM Energy’s Powder River Basin assets 

  • Double Eagle Energy Permian in its $2.8 billion sale of certain undeveloped acreage and producing oil and gas properties in the core of the Midland Basin to Parsley Energy

  • Double Eagle Energy Holdings ll, a portfolio company of Apollo Natural Resources Partners Funds I and II, in its merger with Veritas Energy, creating one of the largest pure play exploration and production companies focused on the Permian’s Midland Basin

  • Related Fund Management in the formation of Related Real Estate Fund II, an approximately $1 billion fund focused on real estate investment opportunities
