Michael A. Saslaw

In practice for more than 35 years, Michael Saslaw focuses on mergers and acquisitions as well as governance matters for clients across the country and around the world. Public and private companies, private equity sponsors, and other investors turn to Michael to handle complicated deals, including cross-border transactions and joint ventures that involve multiple jurisdictions and parties. He is also experienced in securities offerings, financings, distressed investments, restructurings and corporate counseling.

Michael represents clients in an array of industries, including technology, infrastructure, energy, transportation and financial services. He has worked on a number of headline-making matters, such as Trimble Inc.’s acquisition of Google’s Sketch-Up 3D and Oaktree Capital Management’s redevelopment and operation of the second air terminal at Austin-Bergstrom International Airport. For each representation, Michael assembles and oversees a team of attorneys from various practice areas and offices. Once a deal is complete, his work isn’t necessarily done: He also often helps clients to manage a transaction’s integration and navigate any issues that may arise post-closing.

With every matter, Michael adopts a client-centric mindset, eschewing formulaic fixes in favor of more tailored approaches. He works to gain a deep understanding of his clients’ businesses and goals and also to gather insights from colleagues across the firm’s practice areas. The results are creative solutions that directly address his clients’ priorities, uniquely fit their needs and fuel their continued success.

  • Tampnet AS, an offshore high capacity communication network operator and a portfolio company of EQT Infrastructure, in its acquisition of AirTap Communications, a multi-point broadband operator in the Gulf of Mexico and pending acquisition of Broadpoint, a provider of offshore communications in the Gulf of Mexico, and in a long-term strategic roaming agreement with a leading telecom carrier

  • Oaktree Capital Management in connection with its entry into a long-term lease and concession agreement with the City of Austin, pursuant to which an Oaktree portfolio company redeveloped and operates a limited services terminal at Austin-Bergstrom International Airport in Austin, Texas

  • Morsco, a wholesale plumbing and HVAC supplier and portfolio company of Advent International, in its acquisitions of the assets and businesses of Wholesale Specialties, Kiva Kitchen & Bath, BAS Appliance Gallery, Murray Supply Company, and DeVore & Johnson

  • Riverstone Holdings in its $200 million equity commitment to Castex Energy, an oil and gas company focused on Louisiana and the Gulf of Mexico Shelf

  • SourceGas, a portfolio company of GE Energy Financial Services and Alinda Capital, in its acquisition of an underground gas storage facility from SWN Production (Arkansas)

  • Yazmi USA, a satellite operator, in the sale of its AsiaStar and AfriStar satellites

  • EQT Partners in its $465 million acquisition of Synagro Technologies, which creates sustainable solutions to natural waste, pursuant to a bankruptcy plan

  • Trimble Navigation in its €337 million public tender offer for all issued and outstanding shares in Finland-based Tekla Corporation, provider of Building Information Modeling (BIM) software for the construction industry

  • Trimble Navigation, a developer of GPS systems and software including surveying, mapping and marine navigation equipment, in its $335 million acquisition of TMW Systems, which develops enterprise software for transportation and logistics companies 

  • Trimble Navigation in its acquisition of Google’s SketchUp 3D, a modeling tool for designing, modeling, and visualizing projects

  • EQT Partners in its $270 million acquisition of U.S.-based Restaurant Technologies, which develops, distributes, and provides automated solutions for storing, handling, and disposing of frying oil for the foodservice industry

  • WL Ross in the $1.1 billion acquisition of Option One (H&R Block’s mortgage servicing business)

  • GE Commercial Finance, through its subsidiary GE Energy Financial Services, in the $710 million acquisition of the natural gas retail operations of Kinder Morgan, Inc
