Margaret Dunlay Terwey

Margaret is a member of the firm’s Complex Commercial Litigation group. Her practice focuses on litigation arising from shareholder, M&A, and contract disputes. She has substantial trial experience defending entities and individuals in the Delaware Court of Chancery and other state and federal courts, including in multiple high-stakes, expedited proceedings. Margaret has successfully represented clients on appeal in both state and federal courts. She also has experience representing officers and directors in SEC, FDIC, and other government investigations and proceedings.

Margaret is a member of the firm’s media law practice and has represented media companies in cases involving defamation and related claims. Margaret serves on the firm’s Associate Advisory Committee. Before joining Vinson & Elkins, Margaret served as a judicial clerk to the Honorable Catharina Haynes of the U.S. Court of Appeals for the Fifth Circuit and to the Honorable David C. Godbey of the U.S. District Court for the Northern District of Texas.

Securities and M&A Litigation

  • (Del. Ch.); (Del.) — Member of trial team that obtained opinion permitting Energy Transfer Equity, LP to terminate merger agreement with The Williams Companies based on failure of condition precedent relating to the provision of a tax opinion; decision was affirmed by the Delaware Supreme Court 

  • (Del. Ch.) —  Member of trial team that secured a trial victory on behalf of Energy Transfer Equity, L.P. in the Delaware Court of Chancery after the court rejected unit holder effort to unwind a March 2016 issuance of convertible preferred units; the court issued a 78-page post-trial opinion refusing to rescind the issuance and allowing the conversion to go forward per the terms of the units

  • (Del. Ch.) — Represented oilfield services company in expedited breach of contract proceeding

  • (S.D. Tex.) — Defended retailer and certain of its officers in federal securities class action and derivative lawsuits in Texas federal court alleging violations of Section 10(b) of the Securities Exchange Act arising from restated financials  

  • (FDIC); (5th Cir.) — Member of trial team defending former President and CEO of Texas-based federally chartered bank in two-week trial of removal proceedings and civil money penalties on basis of alleged breach of fiduciary duties and unsafe and unsound banking practices  

  • (Texas Department of Banking) — Achieved favorable settlement for bank chairman in Texas Department of Banking enforcement proceeding 

  • (5th Cir.); (E.D. Tex.) – Obtained affirmance of dismissal of RICO, conspiracy, tortious interference, and defamation claims against local newspaper and its employees and owner

  • (Tex.) – Obtained reversal of lower appeals court decision against The Dallas Morning News in a defamation case arising out of a series of investigative articles on alleged healthcare fraud

  • (Tex. App. – Waco) – Favorably settled litigation with a county appraisal district over the value of a major generator’s nuclear power plant, after joining the case as appellate counsel subsequent to an unfavorable trial court judgment that valued the plant at over $2 billion 

  • (Tex. Dist.) — Represented national broadcaster in defending against defamation claim based on investigative news report 

  • (N.D. Tex.) — On a pro bono basis, secured return of child in international child abduction case under the Hague Convention

  • (5th Cir.) — On a pro bono basis, collaborated with Reporters Committee for Freedom of the Press on two amicus briefs filed in the Fifth Circuit addressing the applicability of Texas’s anti-SLAPP statute in federal court
