Liz represents corporations, partnerships, and high-net worth individuals in all phases of tax controversy, including IRS audit and appeals and in federal court. She also advises clients on the federal income tax consequences of complex domestic and cross-border business transactions, including investments in clean and renewable energy projects qualifying for federal tax credits, mergers and acquisitions, capital markets transactions such as debt and equity offerings and initial public offerings (IPOs), bank credit facilities, and cross-border planning and restructurings.

Experience Highlights

  • Sunoco Logistics Partners LP in its $20 billion merger with Energy Transfer Partners in a unit-for-unit transaction

  • Brigham Minerals, Inc. in its $261 million initial public offering of Class A common stock utilizing an Up-C structure

  • Apollo Global Management in the acquisition of an approximately $1 billion portfolio from GE Capital’s Energy Financial Services unit

  • A special situations fund in a nearly $1 billion back-levered acquisition (by way of a joint venture) of a portfolio of wind assets from a global conglomerate

  • A private equity firm in a joint investment with a major bank to purchase a $160 million tax equity position in a portfolio of wind farms

  • TPG Pace Energy Holdings, a special purpose acquisition company (SPAC) and affiliate of TPG, in its $2.66 billion acquisition of oil and gas assets from EnerVest using an acquisitive Up-C structure 

  • Rice Energy in its $6.7 billion unwinding of its Up-C structure and associated merger with EQT Corporation

  • Underwriters to Rockies Express Pipeline LLC in its $750 million offering of senior notes

  • Calumet Specialty Products Partners, L.P. in its $550 million offering of senior notes

  • Underwriters to Cimarex Energy Co. in its $500 million public offering of investment grade senior notes

  • Huntsman Corporation in its $522 million initial public offering of Venator Materials plc, a global chemical company incorporated in the UK

  • Enbridge as special tax counsel with respect to the $6.8 billion simplification (at signing) of its corporate structure via cross-border mergers of its public corporate and MLP subsidiaries
