Liz represents corporations, partnerships, and high-net worth individuals in all phases of tax controversy, including IRS audit and appeals and in federal court. She also advises clients on the federal income tax consequences of complex domestic and cross-border business transactions, including investments in clean and renewable energy projects qualifying for federal tax credits, mergers and acquisitions, capital markets transactions such as debt and equity offerings and initial public offerings (IPOs), bank credit facilities, and cross-border planning and restructurings.

Sunoco Logistics Partners LP in its $20 billion merger with Energy Transfer Partners in a unit-for-unit transaction
Brigham Minerals, Inc. in its $261 million initial public offering of Class A common stock utilizing an Up-C structure
Apollo Global Management in the acquisition of an approximately $1 billion portfolio from GE Capital’s Energy Financial Services unit
A special situations fund in a nearly $1 billion back-levered acquisition (by way of a joint venture) of a portfolio of wind assets from a global conglomerate
A private equity firm in a joint investment with a major bank to purchase a $160 million tax equity position in a portfolio of wind farms
