Kristy L. Fields

Kristy’s practice focuses primarily on executive compensation and benefits. Her practice involves designing, negotiating, implementing, and administering a variety of executive compensation and benefits arrangements, including executive employment agreements, severance agreements, change of control plans, and deferred compensation arrangements, as well as equity-based compensation vehicles and incentive plans. She also advises public and private companies on compensation and benefits issues that arise in mergers and acquisitions, initial public offerings, and a wide range of other transactions, domestic and international. Additionally, Kristy counsels publicly traded clients with respect to proxy statement disclosure and shareholder approval issues involving compensation arrangements for officers and directors.

  • Executives of RS Energy Group, an innovative technology firm focused in the upstream oil & gas industry, in the acquisition of the company by Enverus, a leading energy SaaS and data analytics company

  • Clovis Point Capital in a majority investment in ZynBit.com and merger of ZynBit with Cirruspath, another Clovis Point portfolio company, to create a customer acquisition platform

  • Alpine Income Property Trust, Inc. in its $143 million initial public offering of common stock

  • Chisholm Oil and Gas in its strategic combination with Gastar Exploration to create a leading STACK E&P company
