John Stephen

John’s practice focuses on representing private equity firms, alternative capital providers and corporates on international leveraged finance transactions, particularly acquisition financings. He has experience across the full range of leveraged finance products, including senior loans, unitranche facilities, mezzanine/second lien debt, PIK notes and preferred equity. John also advises clients on novel structures and stressed/distressed situations.

In 2020 John was seconded to Goldman Sachs’ Merchant Banking Division where he advised on a significant number of large cap and mid-market financings.

  • Macquarie European Infrastructure Fund (MEIF 5) and its portfolio company, Empark, on the group’s issuance of €575 million Senior Secured Notes due 2028 and Senior Secured Floating Rate Notes due 2027 and €100 million Super Senior Revolving Credit Facility

  • KKR in the sale of European Locomotive Leasing, a leading pan-European provider of electric locomotive leasing solutions, to AXA Investment Managers – Real Assets and Crédit Agricole Assurances

  • Vitol Group and Helios Investment Partners in Vivo Energy’s initial public offering on the London Stock Exchange and Johannesburg Stock Exchange (one of the largest London IPOs of 2018 with a valuation of close to £2 billion)

  • The initial purchasers in connection with Tullow Oil plc’s placement of US$800 million of senior notes due 2025 

  • L1 Retail, the retail investment arm of LetterOne, in the £900 million senior financing in connection with the acquisition of Holland & Barrett, Europe’s largest health and wellness retailer, from The Nature’s Bounty Co. and The Carlyle Group

  • Asia-Germany Industrial Promotion Limited, in connection with the acquisition and related financing of Fotona, a U.S. and Slovenia based developer of high-tech laser systems and components

  • A private equity firm specializing in middle market, growth equity and buyout investments and a European snack food manufacturer in connection the financing of the manufacturer’s acquisition of a UK food company and the refinancing of its debt

  • Hayfin Capital Management LLP and the Bank of Ireland in connection with the unitranche financing for the acquisition of HRA Pharma, a pharmaceutical company that develops treatments in women’s health and endocrinology, by Astorg Partners and Goldman Sachs Merchant Banking Division

  • DNB Bank ASA and Banque CIC Est, as super-senior lenders, in connection with a super-senior revolving facility for the acquisition of the Marlink group, Airbus Group’s commercial satellite communication business, by funds managed by Apax Partners Mid-Market SAS

  • Owens Corning in its acquisition of Paroc Group, a leading producer of mineral wool insulation for building and technical applications in Europe, from CVC Capital Partners for an enterprise value of approximately €900 million
