John’s practice focuses on energy transactions, projects, joint ventures, asset acquisitions and dispositions, and general corporate representation. He has experience working with domestic and international exploration and production companies, marine export terminal operators, financial investors, midstream developers, investment banks, private equity funds, and wealthy individuals on various transactions in the energy industry.

Experience Highlights

  • Sixth Street Partners in the acquisition of membership interests in a liquefied propane gas terminal located in New Hampshire

  • An oil and gas storage and transportation company in the development, engineering, construction and operation of a 2.6 Bcf/day natural gas pipeline from Nueces County, Texas to the U.S.-Mexico border

  • Bluewing Midstream LLC in connection with Energy Spectrum Partners initial equity commitment of $100 million to acquire and develop oil and gas terminalling and transportation assets

  • Mitsui & Co., Ltd. in its agreement with DuPont to purchase DuPont’s global Kocide and ManKocide copper fungicide assets

  • Leading midstream company regarding the development of LPG export facilities located on the U.S. Gulf Coast, including with respect to a terminal services agreement covering the throughput, storage, terminalling and shipping of US-sourced LPG

  • A Private Equity Firm Portfolio Company in drafting and negotiating crude receiving and transloading agreements and master works agreement for ongoing engineering and development of its terminal 

  • HPS Investment Partners, LLC and affiliate, as second lien lender, in the acquisition of Shoreline Energy LLC, a privately-owned Gulf of Mexico and Louisiana focused energy and exploration company

  • WallStreet Banks, traders and companies (refiners, other commodity producers) in connection with intermediation, repurchase, bridging and other structured arrangements 

  • An independent oil and gas operator in joint venture arrangements to develop over 40,000 acres in the Ohio Utica Shale

  • Whistler Energy II in its $100 million sale of all of its equity interests to Talos Production 

  • The owner of over 100,000 acres of oil and gas rights in Eagle Ford Shale in south Texas in arrangements with a major international oil and gas company to develop such properties
