Jeff concentrates his practice on mergers and acquisitions, shareholder activism, contests for control, and corporate governance. He has worked extensively on public mergers and acquisitions, including those involving publicly traded partnerships. For more than 30 years, Jeff has represented public and private companies as well as private investment companies and investment banking firms in a diverse range of industries, including energy and oilfield services, retail, finance, technology and software, health care, and construction.

Jeff is co-head of V&E’s Shareholder Activism Practice, and is a member of the firm’s Management Committee.

  • Venator Materials PLC in its $522 million initial public offering of ordinary shares by a selling shareholder and separation from Huntsman Corporation

  • CVR Partners in the $533 million acquisition of Rentech Nitrogen Partners, creating a leading North American nitrogen fertilizer producer

    • Woodside Petroleum Limited in its $3.35 billion acquisition of Apache Corporation’s interests in the Wheatstone LNG and Balnaves oil development projects in Australia and the Kitimat LNG project in Canada

    • C&J Energy Services in its $2.86 billion merger with Nabors’ completion and production business to create a leading diversified completion and production services provider

    • Oiltanking Holdings Americas in the $4.41 billion acquisition by Enterprise Products Partners of the general partner of Oiltanking Partners, and all of the common and subordinated units of Oiltanking Partners held by Oiltanking Holding Americas and a wholly owned subsidiary

    • Devon Energy Corp. in the $8.84 billion contribution of substantially all of its U.S. midstream business to Crosstex Energy and Crosstex Energy to form a consolidated midstream business controlled by Devon

    • Huntsman Corporation in its $1.1 billion acquisition of the performance additives and titanium dioxide businesses of Rockwood Holdings

    • QR Energy in its $3 billion merger with Breitburn Energy Partners

    • St. Luke’s Episcopal Health System in its $1 billion transfer to the Catholic Health Initiatives

  • Sabine Oil & Gas in its merger with Forest Oil Corporation through an all-stock transaction

  • The Shaw Group in its $3 billion sale to Chicago Bridge & Iron

  • Equinor (formerly Statoil) in the $4.7 billion acquisition of Brigham Exploration Company, a public exploration and production company

  • Global Industries in the $937 million sale of the company, a publicly traded subsea solution provider, to Technip SA

  • Continental Airlines in its $3.2 billion all-stock merger with United Airlines

  • Energy Transfer Partners in its $2 billion acquisition of a 50% interest in Citrus Corp

  • Plains All American Pipeline in its $744 million merger with PAA Natural Gas Storage through a unit-for-unit exchange

  • Westlake Chemical Corp. in its subsequently withdrawn unsolicited $1.2 billion bid to acquire Georgia Gulf Corp., North America’s largest maker of vinyl construction products

  • Plains All American Pipeline in its subsequently withdrawn unsolicited $1 billion bid to acquire SemGroup, a publicly traded oil and gas storage and transportation company
