Heather’s principal areas of practice are private equity, fund formation and mergers and acquisitions.  She has counseled private equity funds, their portfolio companies, and public companies in connection with a variety of strategic investments, joint ventures, mergers, acquisitions, and divestitures as well as general corporate matters both in the United States and internationally.

  • A sponsor in the $165 million sale of its interest in a joint venture, Enviva Wilmington Holdings, to Enviva Partners

  • Focus Financial Partners Inc. in its $615 million initial public offering of common stock

  • Riverstone Credit Partners in the formation of, and its investment in, Converge Midstream, a crude oil storage and transportation company that acquired the assets of Fairway Energy Partners

  • Focus Financial Partners in an investment by Stone Point Capital and KKR that values Focus at approximately $2 billion

  • Enviva Development Holdings in the formation of a new joint venture, Enviva JV Development Company, with The John Hancock Life Insurance Company to acquire, develop, and construct wood pellet production plants and deep-water marine terminals in the southeastern United States

  • Trinity CO2 in Sixth Street Partners structured investment in Trinity Midstream in partnership with Trinity CO2

  • Natural Resource Partners in the $205 million sale of its construction aggregates business, VantaCore Partners, to an affiliate of Sun Capital Partners

  • Enviva JV Development Company, a joint venture between Enviva Development Holdings and The John Hancock Life Insurance Company, in its acquisition of a wood pellet production plant in South Carolina

  • Enviva Wilmington Holdings in the $130 million sale of Enviva Port of Wilmington, owner of a deep-water marine terminal, to Enviva Partners
