Heather A. Boulton

Heather is an associate in the London M&A and Capital Markets practice. Heather has experience in a broad range of corporate transactional work, including advising on M&A transactions, joint ventures, corporate restructuring and equity investments, as well as general corporate and commercial matters in a variety of sectors.   • The subsidiary of an ASX-listed entity on the NZ$144 million acquisition of a retail business operating in Australia and New Zealand

  • A government owned investment company on the establishment of a market-first A$3 billion renewables fund. Further advising the renewables fund on the subsequent acquisitions of: (i) a A$257 million 102 MW Solar Farm (the largest solar farm in Australia) and a 53 MW solar farm; (ii) a A$450 million 200 MW wind farm development; and (iii) a A$850 million 453 MW wind farm development

  • The subsidiary of an ASX-listed entity on a minority shareholder investment by South African entity

  • A government owned investment company on the restructuring of their interests in a UK water utility company

  • A government owned investment company on the restructuring of their interests in a portfolio of infrastructure investments held across UK, US, New Zealand, Canada and Australia

  • An international oil company on their recapitalisation via $50 million mezzanine debt finance package and associated option issuance

  • A solar farm developer on their exit from a 50% joint venture in a Queensland solar farm project

  • A government owned fund on the proposed acquisition of units in a managed investment fund

  • An Australian subsidiary of international power generation and development company on proposed A$224 million financing of its 50% UJV participating interest in a Queensland power station project

  • Corporate and commercial due diligence in respect of an Australian bank’s A$135M financing of a Central Queensland coal project
