Alan has extensive experience representing clients in a variety of transactional and corporate governance matters. His corporate finance practice includes representing public and private companies, investment banks, and private equity firms in connection with IPOs, mergers and acquisitions, private equity investments, and registered and private offerings of debt and equity securities.

Alan advises public companies regarding securities law and stock exchange compliance, and corporate governance matters. He represents master limited partnerships (MLPs) and has significant experience across energy-related sectors, including clients engaged in upstream, midstream, downstream, oilfield service and power-related activities and technologies.

  • Blackstone Infrastructure Partners in its $3.3 billion acquisition of a controlling interest in Tallgrass Energy and subsequent acquisition of all outstanding publicly-held shares and associated co-investment arrangements

  • Roan Resources in its $1 billion sale to Citizen Energy Operating, LLC, an affiliate of Warburg Pincus

  • EIG Management Company in the $590 million private purchase of NuStar Energy L.P. Series D cumulative convertible preferred units

  • Plains GP Holdings, L.P. in its $7.2 billion simplification transaction between Plains All American Pipeline, L.P. and Plains AAP, L.P.

  • Western Refining in the $2.4 billion take private of Northern Tier Energy, an independent downstream energy company with refining, retail and logistics operations

  • Oiltanking Holdings Americas in the $4.41 billion acquisition by Enterprise Products Partners of the general partner of Oiltanking Partners, and all of the common and subordinated units of Oiltanking Partners held by Oiltanking Holding Americas and a wholly owned subsidiary

  • Western Refining in the $360 million contribution of substantially all of its southwest wholesale business to Western Refining Logistics

  • Plains All American Pipeline in its $744 million merger with PAA Natural Gas Storage through a unit-for-unit exchange
