Vinson & Elkins Represents Initial Purchasers in Weatherford’s $1.2 Billion Notes Offering and Dealer Manager in Concurrent Cash Tender Offer

Vinson and Elkins advised Wells Fargo Securities, LLC, the initial purchasers’ representative, in connection with Weatherford International plc’s upsized offering of $1.2 billion aggregate principal amount of 6.75% senior unsecured notes due 2033.
Concurrently with the 2033 notes offering, the Firm advised Wells Fargo as dealer manager in Weatherford International’s commencement of a cash tender offer to purchase up to $1.3 billion aggregate principal amount of its 8.625% senior unsecured notes due 2030. The note offering priced on Monday, September 22, 2025, and is expected to close on Monday, October 6, 2025, subject to customary closing conditions.
