James J. Fox Partner, Mergers & Acquisitions and Private Equity

Jim’s principal areas of practice include private equity investments, mergers and acquisitions, capital markets transactions, and corporate governance. He has counseled private equity firms and public and private companies in connection with a variety of strategic investments, mergers, acquisitions, divestitures, and joint venture transactions, as well as on corporate governance and other general corporate matters. 

Jim is the Managing Partner of the New York office and a member of the firm’s Management Committee.

Experience Highlights

  • Double Eagle Energy Holdings III in the formation of DoublePoint Energy with FourPoint Permian, and DoublePoint’s subsequent acquisition of assets from undisclosed sellers
  • Salt Fork Resources, a portfolio company of Riverstone Holdings, in the sale of natural gas and oil properties to Ascent Resources and cash contribution by Riverstone to Ascent
  • Northwoods Energy, a portfolio company of Apollo Global Management, in the $500 million acquisition of SM Energy’s Powder River Basin assets 
  • Apollo Global Management in the acquisition of an approximately $1 billion portfolio from GE Capital’s Energy Financial Services unit
  • Quintana Shipping, a portfolio company of Riverstone Investment Group, in the $365 million sale of 14 modern dry bulk vessels to Golden Ocean Group
  • Sanjel Corporation and affiliated entities as debtors in chapter 15 proceedings in Western District of Texas in relation to foreign main proceeding under Canadian Companies’ Creditors Arrangement Act (CCAA) and sale of domestic and international assets in the two proceedings 
  • Apollo Global Management in the formation of, and investment in, Double Eagle Energy Holdings III, an oil and gas exploration and production company focused on the Permian Basin, which has secured equity commitments of more than $1 billion
  • Riverstone Holdings in a $300 million equity commitment to Carrier Energy Partners, which is focused on the acquisition and exploitation of upstream oil and gas assets in North America through partnership with select operators, and in a $100 million equity commitment to Carrier Energy Partners II
  • Trican Well Service in its definitive agreement with Keane Group, a privately-held, U.S. based well completion services company, for the sale of Trican's United States pressure pumping fracking business 
  • Apollo Global Management in the formation of a strategic partnership with Chisholm Oil and Gas to invest in oil and gas properties in Oklahoma, and Chisholm’s initial acquisition of STACK assets
  • Riverstone Holdings in a $300 million commitment to Eagle Energy Exploration, which invests in oil and gas assets and related properties in the Mid-Continent region of the United States
  • Harbinger Group in its $118.75 million acquisition of EXCO Resources’ interests in Compass Production Partners and Compass Production GP, operators of conventional oil and natural gas properties in the Permian Basin, as well as East Texas and North Louisiana
  • Double Eagle Energy Permian in its $2.8 billion sale of certain undeveloped acreage and producing oil and gas properties in the core of the Midland Basin to Parsley Energy
  • Riverstone Holdings in a $205 million equity commitment to Ridgebury Tankers, a newly-formed company focused on the acquisition and operation of vessels in the tanker sector
  • Niska Gas Storage Partners LLC in its $75 million ATM program

  • Underwriters to Pattern Energy Group Inc. in its $382 million initial public offering of common stock
  • Apollo Global Management in an equity commitment of $175 million to Pegasus Optimization Partners, a newly-formed company that will offer custom gas compression services to onshore North American operators
  • Apollo Global Management and Riverstone Holdings in the $7.15 billion acquisition, among a consortium of investors, of El Paso Corp.'s upstream assets
  • PetroLogistics LP in its $595 million initial public offering of common units
