Matt advises public and private companies, private equity funds and other financial sponsors in connection with complex strategic transactions, including mergers and acquisitions, divestitures, joint ventures, preferred equity financings, leveraged buyouts and special situations transactions. Matt works with clients across a variety of sectors, but with a particular focus on energy infrastructure, including the midstream and downstream oil and gas and renewable and sustainable energy sectors.

Experience Highlights

  • Plains All American Pipeline in the sale of three interconnected crude oil terminals and associated pipeline infrastructure in Los Angeles to Zenith Energy U.S.

  • Global Atlantic Financial Group in connection with a number of solar facility acquisitions, including the $1.175 billion acquisition from Southern Power of a 33 percent minority interest in its solar portfolio (comprised of 26 operating solar facilities representing approximately 1.7 gigawatts of capacity)

  • Morgan Stanley Infrastructure Partners in its $1.03 billion sale of Eureka Midstream Holdings and Hornet Midstream Holdings to EQM Midstream Partners 

  • FleetPride, a TPG portfolio company and the industry’s largest distributor of heavy duty truck and trailer parts, in its sale to American Securities

  • Plains GP Holdings, L.P. in its $7.2 billion simplification transaction between Plains All American Pipeline, L.P. and Plains AAP, L.P.

  • International upstream oil & gas operator in the sale of approximately $2.5 billion of midstream infrastructure assets to affiliates of an energy-focused private equity fund

  • SemGroup Corporation in its $2.1 billion acquisition of Houston Fuel Oil Terminal Company, one of the largest oil terminals in the U.S., from Alinda Capital Partners

  • Natural Gas Partners in an $800 million strategic joint venture with EnLink Midstream to operate and expand EnLink’s natural gas, natural gas liquids and crude oil midstream assets in the liquids-rich Delaware Basin

  • Sunoco Logistics Partners, L.P. in the formation of Permian Express Partners, a strategic joint venture with ExxonMobil to combine certain of their key crude oil logistics assets

  • ATX Energy Partners, a newly formed E&P company and the successor company to Brigham Resources, in a $780 million line of equity investment in the company from Warburg Pincus alongside Yorktown Partners and Pine Brook

  • White Deer Energy and AXIOS Industrial Group, a portfolio company of White Deer Energy and industry-leading provider of industrial services, in the merger between AXIOS and A&L Industrial Services, a portfolio company of Hastings Equity Partners

  • Quantum Energy Partners in the combination of two of its portfolio companies, Xplorer Midstream and Intensity Midstream 

  • Clean Line Energy Partners,  a developer of renewable energy transmission projects, in the $50 million equity investment in the company by Bluescape Resources 

  • Morgan Stanley Energy Partners its acquisition of Specialized Desanders, a provider of sand management solutions to the oil and gas industry

  • Spur Energy Partners in the formation of a partnership with KKR to acquire oil and gas production development assets

  • Warburg Pincus in the $500 million line of equity commitment to RimRock Oil & Gas, an E&P company focused on unconventional assets in the United States and Canada

  • Lotus Midstream, a crude oil logistics provider, in a $400 million line of equity commitment to the company from EnCap Flatrock Midstream

  • Apex International Energy, an independent oil and gas exploration and production company focused on Egypt, in a $500 million line of equity commitment to the company by Warburg Pincus

  • Ridge Runner Resources in a $300 million line of equity commitment to the company, a newly formed oil and gas E&P company focused on the Delaware Basin, from Warburg Pincus

  • Lime Rock Partners in the $400 million line of equity commitment to CrownRock Minerals and the acquisition by CrownRock of certain oil and gas interests from Mallard Royalty Holdings 

  • Greenfield Midstream in a $300 million line of equity commitment to the company, focused on midstream infrastructure across North America, from EnCap Flatrock Midstream

  • NGP Global Agribusiness Partners in the management-led recapitalization of Agspring, a provider of midstream grain, oilseed and specialty crop handling, processing and logistics operations, in partnership with American Infrastructure MLP Funds and other institutional investors 

  • Antero Resources Corporation in a $402 million structured overriding royalty interest transaction with an affiliate of Sixth Street Partners

  • Plains All American Pipeline in the formation of a joint venture with Holly Energy Partners, L.P. for the development and construction of a new 160,000 barrel per day common carrier crude oil pipeline and the ownership and operation of 1.5 million barrels of crude oil storage

  • Continental Resources in its $220 million sale of mineral rights in the SCOOP and STACK oil and gas plays and formation of a joint venture with Franco-Nevada Corporation

  • Targa Resources in its $160 million sale of the company’s refined products and crude oil storage and terminaling facilities in Washington and Maryland to ArcLight Capital Partners

  • Hartree Partners in its acquisition of AMID Crude Oil Storage, a crude oil storage business in Cushing, Oklahoma with approximately 3.0 MMBls of crude oil storage capacity, from Third Coast Midstream, an affiliate of ArcLight Capital Partners

  • Flywheel Energy Operating, a portfolio company of funds managed by Kayne Anderson Capital Advisors, in its $1.86 billion acquisition of all Fayetteville Shale and ARKOMA upstream and midstream assets of Southwestern Energy Company via the acquisition of 100% of the issued and outstanding securities in SWN Production (Arkansas), LLC and DeSoto Gathering Company, LLC

  • Oasis Petroleum in the $946 million acquisition of acreage in the Delaware Basin from Forge Energy

  • Valorem Energy, LLC in the $285 million acquisition of LINN Energy, Inc.’s Williston Basin interests
