Woodside and BHP Agree to Create a Global Energy Company
A team of Vinson & Elkins lawyers, led by partner Kaam Sahely, represented Woodside Petroleum Ltd in its merger with BHP Group, which was signed today and expected to be completed in Q2 2022 according to both parties.
Woodside Petroleum Ltd (Woodside) and BHP Group (BHP) have signed a binding share sale agreement (SSA) for the merger of the BHP oil and gas portfolio with Woodside (Merger). Woodside will acquire the entire share capital of BHP Petroleum International Pty Ltd (BHP Petroleum) in exchange for new Woodside shares.
The signing of the SSA follows the merger commitment deed announced on August 17, 2021.
